These Terms and Conditions (“Terms”) govern your access to and use of the website operated by Graceful Planning LLC (“Graceful Planning,” “we,” “us,” or “our”) and any related online features, content, and communications (collectively, the “Site”).
By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
1) Who We Are
Graceful Planning LLC is a limited liability company organized in Florida. The Site provides information about our wedding planning and related services and may allow you to contact us, request information, or schedule consultations.
2) Changes to These Terms
We may update these Terms at any time. The “Last Updated” date reflects the most recent changes. Your continued use of the Site after changes are posted means you accept the updated Terms.
3) Eligibility
You must be at least 18 years old (or the age of majority where you live) to use the Site and request services. By using the Site, you represent that you meet this requirement.
4) Site Use and Acceptable Conduct
You agree not to:
Use the Site for unlawful purposes or in violation of any applicable laws;
Attempt to interfere with the Site’s security or functionality;
Upload or transmit malware, spam, or harmful code;
Scrape, crawl, or harvest data from the Site without our written permission;
Misrepresent your identity, affiliation, or intentions;
Use the Site to harass, threaten, defame, or infringe the rights of others.
We may suspend or block access to the Site at any time if we believe you have violated these Terms.
5) Informational Purposes Only; No Guarantee of Availability
Content on the Site is provided for general informational purposes only. We may modify or discontinue any part of the Site at any time without notice.
Submitting an inquiry does not guarantee availability, pricing, or acceptance as a client. Any dates discussed are tentative until confirmed in writing.
6) Consultations, Proposals, and Client Service Agreements
If you choose to hire us, our relationship may be governed by a separate written agreement (a “Client Service Agreement” or “Service Agreement”), which will control in the event of any conflict with these Terms.
Unless and until a Service Agreement is signed by both parties (and any required retainer/deposit is paid), no client relationship is created.
7) Payments (If Applicable)
If the Site allows or references online payments, payments may be processed through third-party payment processors. We do not control and are not responsible for third-party payment platforms, their terms, or their handling of your payment information.
All fees, retainers, deposits, refunds, cancellations, and rescheduling terms (if any) will be described in the applicable Service Agreement and/or invoice.
8) Vendors, Venues, and Third Parties
Wedding and event planning often involves third-party vendors and venues. Unless expressly stated in a signed Service Agreement:
We do not guarantee the performance, availability, safety, legality, or quality of any third party.
Any contracts you enter into with vendors/venues are between you and those third parties.
We are not responsible for third-party acts or omissions, including delays, cancellations, errors, damages, or failure to deliver services.
9) Client Responsibilities (If You Engage With Us)
If you become a client, you agree (as applicable) to:
Provide accurate and timely information needed for planning;
Review deliverables (timelines, proposals, vendor options) promptly;
Maintain appropriate insurance if recommended (e.g., event insurance) and comply with venue/vendor rules;
Treat vendors and participants respectfully and refrain from abusive or harassing conduct.
10) User Submissions and Communications
If you submit information through the Site (forms, emails, uploads, messages) (“Submissions”):
You represent you have the rights to share the Submission;
You agree not to submit anything unlawful, defamatory, or infringing.
You grant Graceful Planning a limited, non-exclusive license to use your Submissions solely to respond to you and provide services (and to operate/improve the Site). We will handle personal information according to our Privacy Policy.
11) Intellectual Property
The Site and its content (text, graphics, logos, designs, photos, videos, templates, and other materials) are owned by or licensed to Graceful Planning and are protected by intellectual property laws.
You may view and print pages for personal, non-commercial use only. You may not copy, reproduce, distribute, modify, create derivative works, publicly display, or exploit Site content without our prior written permission.
12) Testimonials and Portfolio Use (Optional)
Unless prohibited by a written agreement, you grant us permission to reference the fact that we worked together and to use non-confidential, non-identifying information for portfolio and marketing (e.g., design descriptions). Use of identifiable images or names will be handled per the Service Agreement and/or a separate written release if applicable.

13) Privacy
Your use of the Site is also subject to our Privacy Policy. Please review it for information about how we collect, use, and share information.
14) Third-Party Links
The Site may contain links to third-party websites (vendors, venues, social platforms). We are not responsible for third-party sites, content, or practices. Access them at your own risk.
15) Disclaimer of Warranties
THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Site will be uninterrupted, secure, error-free, or free of viruses or other harmful components.
16) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRACEFUL PLANNING LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SITE SHALL NOT EXCEED $100.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
17) Indemnification
You agree to defend, indemnify, and hold harmless Graceful Planning LLC and its owners, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:
Your use of the Site;
Your violation of these Terms; or
Your infringement of any rights of another person or entity.
18) Electronic Communications; E-Sign
By using the Site and communicating with us electronically, you consent to receive communications from us electronically (e.g., email). You agree that electronic communications and signatures may satisfy legal requirements for written agreements, subject to applicable law and any additional verification we may require.
19) Governing Law; Venue
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules.
Unless an alternative dispute resolution clause is included in a signed Service Agreement, you agree that any dispute arising out of or related to these Terms or the Site will be brought exclusively in the state or federal courts located in Florida, and you consent to personal jurisdiction in those courts.
20) Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
21) Entire Agreement (Site Terms Only)
These Terms constitute the entire agreement between you and Graceful Planning regarding the Site and supersede prior or contemporaneous understandings about the Site. Any Service Agreement you sign with us governs the services themselves.
